Bacciardi Partners has advised the shareholders of Delta Chiodatrici e Impianti Costruzione Pallet S.R.L., a company based in Bologna that produces machinery for the construction of pallets (“Delta”), in the sale of the entire share capital in favour of Refa Srl, a company belonging to the Clevertech group of Reggio Emilia.
Through this transaction, the Clevertech group, a leader in the design, production and sale of integrated end-of-line solutions, continues its growth plan by external lines and consolidates its position in the so-called “packaging valley”, the area of Reggio Emilia where the main companies specializing in the production of tools and machinery for the packaging sector are located.
As part of the transaction, the sellers will continue to be involved in the management of the company, to guarantee and maintain the added value of experience and high specialization in the production of the machinery. All Delta’s workforce will be retained and enhanced.
The multidisciplinary team of Bacciardi Partners, operating from its Bologna office, has entirely handled the transaction by:
- taking care of all advisory, valuation, and corporate finance aspects related to the origination, structuring and finalization of the transaction as a whole;
- assisting the sellers in negotiating the initial binding contractual terms, coordinating the due diligence phase and negotiating and finalizing the SPA (Share Purchase Agreement), as well as the ancillary agreements to the same, including structuring an Escrow Agreement managed by Banca Aletti.
Bacciardi Partners acted through its Partner Renato Capanna, Senior Advisor Manuela Santini and Advisor Valentino Piunti for the Corporate Finance division and through its Partner Pier Federico Orciari and Associate Irene Cappelli for the legal and tax division.

The notary issues were handled by Studio Associato dei Notai Zanichelli e Baja Guarienti in Reggio Emilia.
