This need can only be met with agency and distribution agreements specifically tailored to the characteristics of the company, the product marketed and the reference market.

The agreements must also contain an appropriate regulation of the critical issues of the relationship, also in view of the recent regulations and case law developments in this area, both in Italy and abroad.

In this respect, recent rulings by Italian courts on the agency agreement have re-shaped the obligations of the parties in favour of the agents. Moreover, various foreign regulations on the agency agreement are considered “internationally mandatory” and, consequently, determine the ineffectiveness of any contractual clause that is in conflict with them, even if approved by the agent.

Moreover, the drafting of a distribution agreement is particularly tricky as the text of the agreement must appropriately regulate key issues of the relationship – such as exclusivity and non-competition obligations, payments, product warranty – and must, at the same time, comply with EU antitrust law, which places mandatory obligations on such matters as resale prices, distributor territorial exclusivity and internet sales.

The webinar aims to highlight the peculiar, and often hidden, risks of agency and distribution relationships, as well as to provide practical-operational guidance for their management.
