BACCIARDI and PARTNERS assisted the Italian company ATLANTE SRL in the reorganization of its distribution system in the UK following the Brexit.
The project was divided into two phases.
The initial phase concerned the compliance, from a post-Brexit VAT and tax regulations profile, of a warehouse of products maintained by ATLANTE in the UK territory and aimed at supplying one of the major players in the large-scale retail channel in the UK.
Subsequently, the project has been developed through the establishment of a limited liability company under UK law (Ltd.), wholly owned by ATLANTE and responsible for the marketing of food and wine products of the biggest Italian and foreign brands within the UK market, with particular reference to the UK large-scale retail channel.
The project involved the following multidisciplinary teams of Bacciardi and Partners:
- the team of the International Taxation Area, directed and coordinated by the partner Tommaso Fonti, LL.M. with the collaboration of the associate Andrea Belvedere, for the issues connected to the post-Brexit VAT and tax regulations of ATLANTE’s operations in the United Kingdom;
- the team of Corporate Law Area, directed and coordinated by the managing partner Lorenzo Bacciardi, LL.M. with the collaboration of the partner Pier Federico Orciari, for the corporate and labour issues related to the incorporation of the Ltd. wholly owned by ATLANTE.
